John Lennon wrote this song in India where he and other band mates were studying meditation with Maharishi. At one moment Lennon grew tired of long meditations and missed Yoko Ono very much because he was there and she was in England. Those feelings inspired him to write the song when he couldn't fall asleep one night.
Paul McCartney said about this song, "I think it's 100 percent John. Being tired was one of his themes; he wrote "I'm Only Sleeping". I think we were all pretty tired but he chose to write about it."
